		DATOâ€™ DR. NIK HUSSAIN BIN ABDUL RAHMAN Chairman Non-Independent Non-Executive Director A Malaysian, aged 73, Datoâ€™ Dr. Nik Hussain was appointed as a Director of MTD ACPI Engineering Berhad on 31 October 2003 and as Executive Chairman in January 2004. Subsequently, he was redesignated as Chairman on 26 February 2007. Datoâ€™ Dr. Nik Hussain is the Chairman of the Management Committee and a member of the Remuneration Committee. Datoâ€™ Dr. Nik Hussain holds a Bachelor in Dental Surgery from the University of Singapore. He served the Malaysian civil service as Deputy Minister of Works and Deputy Minister of Telecommunications and Posts from 1976 to 1984 before venturing into the corporate sector. Datoâ€™ Dr. Nik Hussain is the Group Executive Chairman of MTD Capital Bhd and held directorships in other public companies namely, MTD InfraPerdana Bhd and Metacorp Berhad, both are subsidiaries of MTD Capital Bhd. Datoâ€™ Dr. Nik Hussain is also a director of several private limited companies.

		DATOâ€™ AZMIL KHALILI BIN DATOâ€™ KHALID President & Chief Executive Officer Non-Independent Executive Director A Malaysian, aged 49, Datoâ€™ Azmil was appointed to the Board of MTD ACPI Engineering Berhad on 31 October 2003. Subsequently, Datoâ€™ Azmil was redesignated as Executive Vice Chairman and Group Managing Director on 30 January 2004 and 15 August 2006 respectively. Datoâ€™ Azmil is also a member of the Management Committee. Datoâ€™ Azmil graduated with a Bachelorâ€™s Degree in Civil Engineering and subsequently with a Masters in Business Administration. He began his career with a United Kingdom company, Tarmac National Construction and upon his return to Malaysia worked for Trust International Insurance and Citibank NA. Datoâ€™ Azmil joined MTD Group in 1993 as General Manager, Corporate Planning. In 1996, Datoâ€™ Azmil assumed the helm as Group Managing Director of MTD Capital Bhd and was redesignated as President & Chief Executive Officer on 1 June 2009. In his capacity as President & Chief Executive Officer of MTD Capital Bhd, he concurrently holds the same position in MTD ACPI Engineering Berhad and is the Chairman of foreign subsidiaries of MTD Capital Bhd namely, MTD Walkers PLC, a company listed on the Colombo Stock Exchange in Republic of Sri Lanka and South Luzon Tollway Corporation, Philippines. Datoâ€™ Azmil held directorships in other public companies namely, MTD InfraPerdana Bhd and Metacorp Berhad, both are subsidiaries of MTD Capital Bhd. Apart from MTD Group, Datoâ€™ Azmil is the Chairman and Independent Non-Executive Director of Daya Materials Berhad. Datoâ€™ Azmil is a director of Touch â€™n Go Sdn Bhd, the electronic toll collection operator, and Environment Idaman Sdn Bhd, a solid waste concession company; and a Trustee of the Perdana Leadership Foundation. Datoâ€™ Azmil also sits on the board of several private limited companies.

		LEE LEONG YOW Non-Independent Executive Director A Malaysian, aged 53, Mr. Lee was appointed the Executive Director of MTD ACPI Engineering Berhad on 10 January 2005. Mr. Lee is also a member of the Management Committee. Mr. Lee holds a Master in Business Administration (Finance) from University of Leicester, United Kingdom, and is a member of the Association of International Accountants, United Kingdom. He joined MTD Group as Finance Manager of MTD Prime Sdn Bhd in August 1994. Mr. Lee was promoted to Group Financial Controller of MTD Capital Bhd in August 1997. He was appointed as General Manager, Head of Operations of MTD Group in October 2001 and as Executive Vice President, Head, Finance & Treasury Division in April 2009. Prior to joining the MTD Group, he was with Citibank N.A., as Financial Controller, Bank Cards business and with the Exxon Group of companies in Malaysia heading various accounting sections in Controllers Department. Mr. Lee also sits on the board of several private limited companies.

		KEITH GEORGE COWLING Non-Independent Executive Director Mr. Cowling is a British citizen with Malaysian Permanent Resident status, aged 59, Mr. Cowling was appointed the Executive Director of MTD ACPI Engineering Berhad on 15 August 2006. Mr. Cowling is also a member of the Management Committee. A Chartered Engineer, Mr. Cowling holds a Bachelor in Civil Engineering from Dundee University, Scotland and is a member of the Institution of Civil Engineers, United Kingdom, and a Fellow of the Institute of Engineers, Malaysia, where he served on committees including Chairman of the Tunnelling and Underground Space Technical Division. His 36 years experience include service with the City of Dundee District Council, Dundee, Scotland (1972-1976), Mason Pittendrigh & Partners, Edinburgh, Scotland (1976-1977), Auscon Consultants, Sultanate of Oman (1979), Petroleum Development Oman, Sultanate of Omar (1980-1981) and Maunsell Consultants Asia, Hong Kong (1980-1984). Mr. Cowling joined MTD Group as Engineer of Malaysian-Thai Development Sdn Bhd in May 1984 and was promoted to Chief Engineer in July 1991. Mr. Cowling was appointed as General Manager of MTD Construction Sdn Bhd in April 1999 and was promoted to General Manager, Head of Business Development of MTD Group in September 2001. In April 2009, Mr. Cowling was redesignated as Executive Vice President, Head, Business Development & Manufacturing Division of MTD Group. Mr. Cowling also sits on the board of several private limited companies.

		MD. SHUKOR BIN MOHAMED Non-Independent Executive Director A Malaysian, aged 48, Encik Md. Shukor was appointed the Executive Director of MTD ACPI Engineering Berhad on 15 August 2006. He is also a member of the Management Committee. He holds a Bachelor of Science in Civil Engineering from University of Strathclyde, Scotland and a Master of Science in Transport Planning and Engineering from Leeds University, United Kingdom. He is a corporate member of the Institute of Engineers, Malaysia, a registered and professional engineer with the Board of Engineers, Malaysia and corporate member of the Institution of Highways and Transportation, United Kingdom. Encik Md. Shukor spent 22 years with the Malaysian Highway Authority (MHA) serving in various capacities; from engineer to Assistant Regional Director, Senior Project and Maintenance Engineer, Assistant Director of Operations, Director of Special Projects and Director of Professional Services and Technical Co-operation, which was his last position prior to joining MTD Construction Sdn Bhd as General Manager in February 2006. In April 2009, Encik Md. Shukor was appointed as Executive Vice President, Head, Construction & Contract Division. Encik Md. Shukor also sits on the board of several private limited companies.

		DATOâ€™ IR. A. RASHID BIN OMAR Senior Independent Non-Executive Director A Malaysian, aged 60, Datoâ€™ Ir. A. Rashid was appointed an Independent Non-Executive Director of MTD ACPI Engineering Berhad on 15 August 2006 and was redesignated as Senior Independent Non-Executive Director on 3 June 2008. Datoâ€™ Ir. A. Rashid is also the Chairman of the Audit Committee, the Nomination Committee and the Remuneration Committee. Datoâ€™ Ir. A. Rashid holds a Bachelor in Civil Engineering from the University of Glasgow, Scotland, and has a Diploma from University Technology Malaysia (then known as the National Institute Technology). Starting his career as a civil engineer on the East-West Highway Project in Grik, Perak, Datoâ€™ Rashid then served with the Public Works Department (PWD) Malaysia in several positions including District Engineer Kerian, PWD Perak (1975-1977), Senior Executive Engineer, Highway Planning Unit, Ministry of Works Malaysia (1977-1978), Deputy Director of Infrastructure and Public Utilities Section, Implementation Coordination Unit, Prime Minister Department (1983-1989), Director PWD Malacca (1989-1995), Construction General Manager KLIA (1995-1999), Director PWD Johor (1999-2000) and Director Management Corporate Branch PWD Malaysia (2000-2005). Datoâ€™ Ir. A. Rashid also sits on the board of several private limited companies.

		DATOâ€™ SERI HAJI NOORDIN BIN OMAR Independent Non-Executive Director A Malaysian, aged 72, Datoâ€™ Seri Haji Noordin was appointed an Independent Non-Executive Director of MTD ACPI Engineering Berhad on 19 April 1993. He is also a member of the Audit Committee, the Remuneration Committee and the Nomination Committee. Datoâ€™ Seri Haji Noordin has a Senior Cambridge School Certificate. He served 34 years with the Royal Malaysian Police where he held the posts of Chief Police Officer for Pahang from 1990 to 1991 and for Perak, from 1991 to 1992, when he retired. He also sits on the board of several private limited companies.

		DATOâ€™ IR. KALID BIN ALIAS Independent Non-Executive Director A Malaysian, aged 61, Datoâ€™ Ir. Kalid was appointed an Independent Non-Executive Director of MTD ACPI Engineering Berhad on 15 August 2006. Datoâ€™ Ir. Kalid is also a member of the Audit Committee and Nomination Committee. Datoâ€™ Ir. Kalid holds a Bachelor in Civil Engineering from the University of Glasgow, Scotland, United Kingdom and a Master in Public Health Engineering from the University of Strathclyde, Glasgow, Scotland, United Kingdom. A Registered Professional Engineer with the Board of Engineers Malaysia, he is a Fellow of The Institution of Engineers, Malaysia and a Life Member of the Road Engineering Association of Malaysia. Datoâ€™ Ir. Kalid joined the Public Works Department (PWD) in 1975 where he served in various capacities including District Engineer, Assistant Director (Roads) PWD Selangor, Deputy Director of PWD Terengganu and Jabatan Pembangunan Persekutuan Kelantan, Director of PWD Negeri Sembilan and PWD Pahang, which was his last posting before retiring in November 2004.

		DATOâ€™ RUSMA BINTI IBRAHIM Non-Independent Non-Executive Director A Malaysian, aged 58, Datoâ€™ Rusma was appointed a Non-Independent Non-Executive Director of MTD ACPI Engineering Berhad on 8 August 2007. Datoâ€™ Rusma holds a Bachelor of Science and a Diploma in Public Administration from University of Malaya. Datoâ€™ Rusma is currently the Technical Advisor to the Employees Provident Fund Malaysia (EPF). She provides consultancy services to the EPF in the area of pension reform as well as those related to retirement issues. Datoâ€™ Rusma joined EPF in 1976 and has been actively involved in the review of the EPF scheme, which included the various benefit and withdrawal schemes for EPF members. She served 30 years with the EPF where she held the post of the Deputy Chief Executive Officer of Organisational Development Division, when she retired in August 2006. Datoâ€™ Rusma is also an active speaker, having presented many papers on social security and topics relating to retirement at seminars and conferences both locally and internationally. Datoâ€™ Rusma also sits on the board of a private limited company.

		NIK DIN BIN NIK SULAIMAN Independent Non-Executive Director A Malaysian, aged 61, Haji Nik Din was appointed to the Board of MTD ACPI Engineering Berhad on 31 October 2008. He is also a member of the Audit Committee. Haji Nik Din is a Fellow member of the Association of Chartered Certified Accountants (FCCA) and a member of the Malaysian Institute of Accountants (MIA), CA(M). He has extensive experience in accounting, auditing and finance. He served in Sime Darby Group from 1992 to 2004, where he held positions as Group Chief Internal Audit Manager and Finance Director. He also worked for Promet Berhad from 1982 to 1992 as Financial Controller and later as Finance Director. He is an Independent Non-Executive Director of MTD Capital Bhd and Anglo-Eastern Plantations Plc, which is listed on the London Stock Exchange and a director of several private limited companies. Formerly, he was the Independent Non-Executive Director of MTD InfraPerdana Bhd and Metacorp Berhad, both are subsidiaries of MTD Capital Bhd.
