MTD ACPI ENGINEERING BERHAD ("THE COMPANY" OR "MTDACPI")
- ACQUISITION OF A SHELF COMPANY

MTDACPI wishes to announce that it has on 15 July 2016, acquired 100% of the issued and paid-up share capital of a shelf company, Saujanika Sdn Bhd [Company No. 1191758-K] (SSB) for a total cash consideration of RM2.00 only (Acquisition).

SSB was incorporated in Malaysia under the Companies Act, 1965 on 16 June 2016, as a private company limited by shares. The authorised share capital of SSB is RM400,000.00 ordinary shares of RM1.00 each and the paid-up share capital is RM2.00. The intended business of SSB is investment holding and it is currently dormant.

The Acquisition is not expected to have any material effect on the earnings or net assets of the MTDACPI Group for the current financial year ending 31 March 2017. None of the Directors, major shareholders of MTDACPI and/or persons connected to them have any interest, direct or indirect, in the Acquisition.
